Milan, 16 September 2019 - IPE (Investments in Private Equity), a holding company owned by Gianfilippo Cuneo’s family, together with other investors, has acquired, through a leveraged buy-out transaction, the control of Valedo S.r.l., a company leading the advertising bartering sector for the distribution of OTC pharmaceutical products with revenues of approximately euro 100 million.

The founder Carlo Santoro retains a considerable minority shareholding and is still the company’s Chairman and Managing Director. Moreover, with a view to strengthen the management, Mr. Carlo Paolo Grossi has joined the company as well and starting from the month of October will take over the role of Managing Director.

The purchaser has been assisted by Law firm Pavia e Ansaldo, with a team coordinated by partner Alberto Bianco and made up of Dario Rovelli and Erica Lepore, for all the corporate M&A aspects, and by Law firm Orrick, Herrington & Sutcliffe, LLP, with a team led by partner Marina Balzano with the support of Giulio Asquini, for all the aspects related to the financing of the transaction.

For the debt structuring the purchaser has been assisted by PWC Debt Advisory with a team coordinated by partner Alessandro Azzolini and made up of Maria Antonella Lenza and Davide Scroccaro.

The seller Carlo Santoro has been assisted by Giuliano Lanzavecchia, partner with Osborne Clarke.

The transaction has been financed by Banco BPM (acting as agent bank), Deutsche Bank, UBI Banca and Crédit Agricole Italia assisted by Simmons & Simmons with partner Davide D’Affronto, the managing associate Maria Ilaria Griffo and Alessandro Severi.
