Milan, May 6, 2016 - The law firm Simmons & Simmons assisted IGI SGR on behalf of the closed investment funds “IGI Investimenti 5” and “IGI Investimenti 5 Parallel” in the purchase of a majority of the capital of Bracchi Srl through a newly incorporated vehicle owned by the management of the company and by Siparex Investimenti.
Simmons & Simmons assisted IGI SGR with a team composed of partner Andrea Accornero with senior associate Moira Gamba and associates Nicolangelo Del Rosario and Alessandro Bonazzi for corporate matters and managing associate Alessandro Elisio with trainee Elisabetta Tafuro for the legal aspects of the financing of the purchase.
For the tax aspects, IGI SGR was assisted by Studio Di Tanno e Associati by partner Ottavia Alfano. GPB, instead, assisted the controlling quota holders, who sold his entire holding without reinvestment, with a team composed by partner Gianni Martoglia, Silvia Palazzetti and Rosanna Pallotta.
Pavia e Ansaldo, with a team composed by partner Giuseppe Besozzi and senior associate Maria Chiara Puglisi and associate Mario Diomedi, instead, assisted a pool of key selling managers who, contestually with the sale, reinvested in the company, becoming minority owners of the capital.
Ruccellai e Raffaelli, with a team composed of Enrico Sisti and Vincenzo Cimmino assisted Siparex.
The financing banks, BPER and BPM, were assisted by Pedersoli with a team headed by equity partner Alessandro Fosco Fagotto, senior assistants Edoardo Galeotti and Rosalba Pizzicato.
Bracchi, a company based in the Bergamo province operates in the logistic area, assisting manufacturers of elevators, agricultural machinery and electronical components for pharmaceutical and cosmetic concerns. In 2015 it recorded sales of over 80 million euros and employed approximately 160 employees at the Italian offices and the branches in Poland, Czeck Republic and Germany.
