Pavia e Ansaldo and Linklaters in the bond by Relife worth 265 millions

Milano, 9 luglio 2021 – Pavia e Ansaldo assisted ReLife S.p.A. – leader in the circular economy, active in the sector of collection, selection and valorisation of recoverable materials and in the production of cardboard from recycled paper, partly owned by Xenon Private Equity and managed by the founding partners Stefano Calabrò and Franco Prestigiacomo – in a bond emission for a total amount of 265 million euro aiming, inter alia, at formalizing the acquisitions of the groups Plastipoliver and Genaral Packaging, with no prejudice for future acquisitions. ReLife was assisted by Rothschild & Co. in the structuring of the financing and in the selection of the financial partner. The bonds – underwritten in whole by Pemberton – have been listed on the Vienna Stock Exchange. The transaction fits in a wider development programme started by Relife Group which allowed the creation of a one-of-a-kind industrial integration in Italy aiming at generating the maximum value in the recycle chain, offering its clients an integrated service combining the supply of boxes and plastic films produced from recycled material as well.

Pavia e Ansaldo’s team which managed the transaction was coordinated by partner Giuseppe Besozzi with the support of counsel Maria Chiara Puglisi, of associate Martina Bosi and trainee Andrea Romanò. Austrian law aspects regarding the listing of the bond have been managed by Schoenherr firm.

Pemberton and Banca Finanziaria Internazionale S.p.A., as Security Agent, Paying Agent and representative of the underwriters, were assisted by Linklaters with a team led by partner Andrea Arosio (in the photo), by managing associate Diego Esposito and by counsel Linda Taylor, supported by associates Ilaria Francesca Bertolazzi, Alessandro Rossi, Matteo Pozzi and Sara Giugiario and by trainee Chiara Buscicchio and for the tax part by counsel Fabio Balza and by managing associate Eugenia Severino.
