Orrick and Pavia e Ansaldo in Eurazeo’s unitranche financing for the entry of Barabino & Partners into Excellera Advisory Group

Milan, June 3, 2024 – Excellera Advisory Group, Italy’s largest consulting firm in corporate affairs, established in November 2022 from the partnership between Cattaneo Zanetto Pomposo & Co. and Community with the support of Xenon Private Equity – and which has also been joined in the last year by Public Affairs Advisors and Value Relations – has finalized the transaction for the entry of Barabino & Partners into the Group.

The transaction followed the same pattern around which the entire project was conceived: the leading companies of the chain maintain brand and management autonomy, continuing to operate in perfect competition as they already do today. Luca Barabino, who will retain the position of CEO in B&P, and Federico Steiner, who will continue in the role of B&P’s general manager, along with a group of employees identified as “key people” gathered in the company Barabino&PartnersFutura, will reinvest significantly in the holding company with a 15 percent equity stake.

The unitranche financing to service the acquisition was arranged by Eurazeo with a team composed of investment director Emmanuelle Tanguy and associate Daniele Frati and made available by a debt fund managed by the latter.

Orrick assisted Eurazeo with a team composed of partner Marina Balzano, special counsel Giulio Asquini, and associates Maria Costa and Claudia Loriggio, for the preparing of the financial documentation and other legal aspects related to the transaction.

Pavia e Ansaldo, with a team composed of partner Giuseppe Besozzi and senior associate Martina Villa, assisted Excellera Advisory Group in negotiating the financial documentation and other legal aspects related to the financing.

Excellera Advisory Group was also assisted by Fineurop Soditic’s debt advisory team composed of Umberto Zanuso (Senior Partner and Head of Structured Finance), Ilenia Furlanis (Partner), Michela Agostini (Vice President), Giovanni Fanfani (Senior Analyst) and Giulio Angelini (Analyst) in structuring the financing.

Finally, Hogan Lovells assisted M&G Trustee Company Limited in the role of Security Agent with a team composed of counsel Salvatore Graziadei and associate Leonardo Tripaldi.
