Dea Capital enters OMB Saleri: the firms

Milan, 31 July, 2021 – Law firm Pavia e Ansaldo, with a team coordinated by partners Alberto Bianco and Giuseppe Alessandro Galeano, furnished legal and tax assistance in favour of the fund Sviluppo Sostenibile, managed by Dea Capital Alternative Funds, in the transaction for the acquisition, mainly through a capital increase, of a minority shareholding in OMB Saleri S.p.A., a company in Brescia owned by the Saleri Family producing and marketing security valves for domestic use of gas and high pressure valves.

 

With approximately 45 millions euro turnover in 2020, mainly abroad, OMB Saleri is the referring partner of the most important Oem producers in the world in the transportation industry.

 

Corporate and M&A aspects of the transaction have been managed by a team composed  by Martina Bosi, Andrea Romanò, Giulio Nobile and Biancamaria Veronese, while the tax aspects were managed by a team formed by Francesca Marchiori, Niccolò Poggio, Gianluca Disabato and Andrea Orlandi. The partner Valentina Simonelli, supported by Francesca Guglielmino, managed the labour law profiles of the transaction, while partner Filippo Fioretti assisted by Maria Rosaria Raspanti took care of the antitrust ones.

 

Accounting aspects on behalf of the buyer have been managed by EY with Francesco Serricchio and Andrea Croci.

 

The seller was assisted by the Galgano firm, with a team formed by the partner Mario Baraldi supported by Serafino Amodeo, Matteo Pellegrini and Alberto Pagliari.
