All the law firms in the acquisition of Procosme by Mandarin Capital Partners

Milan, 2nd December, 2021 – The law firm Cappelli RCCD assisted the private equity fund Mandarin Capital Partners in the acquisition of the entire share capital of Procosme, an historical Lombard enterprise founded by the Pisana family representing a research, formulation and production hub for excellency cosmetics.

The acquisition was formalized through the newly established holding Ymenso after 12 months from the investment in Nuova Fapam (Parnazzini family), aiming at continuing the growth and internationalization strategy of the group in the haircare sector.

The Mandarin Capital fund was also assisted by Gitti and Partners for tax matters and by PwC Debt Advisory for relations with the banks.

The Pisana family was assisted in the transaction by the M&A firm Marcianesi&Associati in the context of the tax and financial due diligence, and, for legal aspects, by the law firm Ciampani e Marcianesi.

The Parnazzini family was assisted in the transaction by the law firm Pavia e Ansaldo, with the partner Carlo Emanuele Rossi and the associate Viola Bardi.

Notarial aspects of the transaction were managed by notary Giovannella Condò of Milano Notai.
