PAVIA E ANSALDO WITH IPE IN VALEDO
Milan, 3 August 2017 – Pavia e Ansaldo has assisted IPE (Investimenti in Private Equity), a holding company held by the family of Gianfilippo Cuneo, in the leveraged buy-out of a minority shareholding in Valedo S.r.l., a leader in the field of advertising barter for the distribution of pharmaceutical products OTC with a turnover of 84 million euro in 2016.
The team of the Firm was led, for the legal due diligence and for all corporate and contractual aspects, by partner Alberto Bianco assisted by Dario Rovelli and Nicoletta Botta.
The financing aspects were dealt with, on behalf of the firm and in the interest of the borrower, by partner Marina Balzano assisted by Giulio Asquini and Pierluigi Ariete.
The entrepreneur Carlo Santoro, as seller and reinvestor, was assisted by Giuliano Lanzavecchia, partner with Osborne Clarke.
The transaction is being financed through a medium/long-term credit line by Banco BPM, as agent bank, and Deutsche Bank, both assisted by Davide D’Affronto, partner with Simmons & Simmons, with the support of Riccardo Rossi, Martina Morandi and Cettina Merlino.
Law and Tax advisory firm Russo De Rosa Associati assisted Fenix and the Intini family with a team composed of partners Andrea Bolletta and Gianmarco Di Stasio, senior associate Alberto Greco and associate Edoardo Colla.
Cordusio Fiduciaria, a company of the Unicredit Group acted as Escrow Agent with a team of the Corporate & Escrow Account group with Luca Fois and Marco Chiancone which was led by the commercial director Francesco Rubino.
