Milan, 8 November 2019 - Yesterday the fund Xenon Private Equity VII finalized the closing of the purchase of the C.B.G. Acciai group, leader in the manufacture, transformation and marketing of steel with particular reference to the manufacture of blades for bandsaws of all kinds.
In the context of the transaction, managed by the Xenox’s managing director, Franco Prestigiacomo, Pavia e Ansaldo counselled the purchaser for all the corporate, M&A and banking aspects, including the negotiation of a loan with MPS Capital Services Banca for the Imprese S.p.A., acting as agent bank, Banco BPM S.p.A., Banca IFIS S.p.A., Unione di Banche Italiane S.p.A. and Intesa Sanpaolo S.p.A. that acted as bookrunners and mandated lead arrangers and lending banks.
Pavia e Ansaldo counselled Xenon with a team led by partner Giuseppe Besozzi and made up of counsel Maria Chiara Puglisi and associate Erica Lepore.
The sellers were assisted by Chiomenti with a team made up of partners Luca Liistro and Raul-Angelo Papotti and senior associates Alessandro Buscemi and Gian Gualberto Morgigni respectively for the corporate and tax aspects, while the lending banks were assisted by Law firm Dentons with a team made up of partner Alessandro Fosco Fagotto, counsel Edoardo Galeotti and trainee Giulia Caselli Maldonado.
Fineurop Soditic counselled Xenon as financial advisor with a team made up of Ilenia Furlanis, Umberto Zanuso and Michela Agostini.
Mediobanca assisted the sellers as financial advisor with a team made up of Antonio Da Ros, Antonio Di Lella and Michele Faustini.
Notary Edmondo Todeschini of the Studio notarile Todeschini e Bastrenta was in charge of the notarial aspects of the transaction.
