Milan, 17 July 2018 – Law firm Pavia e Ansaldo assisted Project Co-Val S.p.A. and its majority shareholder Seconda Navigazione S.r.l., controlled by the Stocchi family in a transaction through which Seconda Navigazione S.r.l. and Fondazione Cassa di Risparmio di Trento e Rovereto contributed to Progetto Co-Val the share held by them in Mittel S.p.A., whose ordinary shares are listed on the Electronic Share Market organized and operated by the Italian Stock Exchange. The assistance to Project Co-Val S.p.A. and its majority shareholder Seconda Navigazione S.r.l. was rendered by law firm Pavia e Ansaldo with a team made up of Stefano Bianchi, Francesco Manara, Paola Carlotti, Anna Saraceno and Guglielmo Ferrari. Fondazione Cassa di Risparmio di Trento e Rovereto were assisted by LCA Law Firm with a team made up of Benedetto Lonato, Giulia Cerutti and Vittorio Turinetti di Priero.
As a result of the contributions, Progetto Co-Val now holds 38,853% of Mittel S.p.A.’s ordinary shares, thus creating an obligation for Progetto Co-Val to perform an all-inclusive tender offer for Mittel S.p.A.’s ordinary shares.
