Pavia e Ansaldo with Pragma Invest in the entry into Urbinati

Milan, 10 March 2022 – The Law Firm Pavia e Ansaldo, with a team coordinated by partner Alberto Bianco and comprising Martina Bosi, Arianna Bellani and Luca Cabato, assisted Pragma Invest, an investment vehicle part of NovaCapital, an investment holding company chaired by Paolo Merloni, in the acquisition of a controlling interest in Urbinati S.r.l., one of the world’s leading developers and marketers of machinery and solutions for the automation of production processes in the plant nurseries market.

Founded in 1979 by Nino Urbinati and currently led by Romina Urbinati, the company develops a wide range of automatic systems for filling, sowing, transplanting, handling and irrigation for nurseries and vertical farms, all products characterised by high reliability, technological innovation and quality.

The buyer was assisted by Spada Partners, which handled the tax due diligence and structuring of the deal with a team led by partner Guido Sazbon, supported by Roberto Oldrati and Pierpaolo Colucci, and the financial due diligence with a team formed by partner Antonio Zecca assisted by Francesco De Buglio and Emanuele Arpano.

The sellers, and in particular Romina Urbinati, who maintains an operational role in the company, were assisted, in the role of advisors as well as legal and tax consultants, by a team coordinated by Paolo Franzoni (Elexia Avvocati e Commercialisti) and Mr. Filippo Urbini, of the same firm.

The transaction was financed by BPER Banca S.p.A. assisted by Studio Cappelli RCCD with a team comprising partner Morena Bontorin, associate Piero Piccolo and junior associate Lucrezia Vincenzi.
