HIG Capital enters Project Informatica Group: the law firms
Milan, 8 July, 2020 – Law firm Pavia e Ansaldo, with a multidisciplinary team coordinated by Partner Alberto Bianco and made up of Erica Lepore, Nicoletta Botta and Giulio Nobile, for corporate, M&A and banking aspects, and by Partner Filippo Fioretti, with the support of Maria Rosaria Raspanti, for antitrust matters, assisted H.I.G. Europe, European branch of the international investment fund H.I.G. Capital, in the acquisition of a majority shareholding in the Group belonging to Project Informatica S.r.l., main operator of the Italian information technology market, with offices in Stezzavno (Bergamo) and with a turnover of over €130 million and 230 employees.
Financial, debt advisory and fiscal aspects of the acquisition were managed, on behalf of the purchaser, by PwC with a multidisciplinary team composed of Emanuela Pettenò with Giorgio Gorla for financial matters, by Alessandro Azzolini with Valentina Assereto and Marta Colmegna for debt advisory, and by Marco Vozzi with Serena Scalabrini for fiscal aspects.
The firm Spada Partners, with Partner Guido Sazbon and the support of Paolo Cricchio, managed the structuring of the transaction, while Boston Consulting Group with Managing Directors Andrea Nogara and Massimiliano Merlini drew up the business due diligence. UBI Banca acted as financial advisor on behalf of the purchaser.
The seller Alberto Ghisleni, who maintains a minority shareholding in the company’s capital, was assisted, regarding legal matters of the transaction, by Law firm Shearman & Sterling with a team coordinated by Partner Fabio Fauceglia and made up by counsel Emanuele Trucco and by associates Leonardo Pinta, Eugenio Zupo and Gaetano Petroni and, regarding financial aspects, by KON S.p.A. with Francesco Ferragina, Matteo Mancaruso, Giovanni Vitiello and Leonardo De Vecchi.
The transaction was financed by a pool of banks composed of UBI Banca S.p.A., Intesa San Paolo S.p.A., MPS Capital Services Banca per le Imprese S.p.A. and Banco BPM S.p.A. assisted by the Firm Simmons & Simmons with a team made up of partner Davide D’Affronto, the managing associate Ilaria Griffo, the associate Cettina Merlino and by the trainee Alessandro Severi, along with, for the tax part, partner Marco Palanca and associate Pasquale Del Prete.
