The firms in the merger between Pietribiasi Michelangelo and Milkylab

Milan, 8 March, 2023 – The law firm Pavia e Ansaldo, with a team formed by Alberto Bianco, Erica Lepore and Umberto Zaccarelli, has assisted Pietribiasi Michelangelo S.r.l., a company controlled by a Club Deal vehicle promoted by Deal Source Italia S.r.l., in the aggregation transaction with MilkyLAB S.r.l. with the aim of accelerating the expansion project in the world of machinery and plant manufacturers for the dairy industry.

After the acquisition at the end of 2020 of Pietribiasi, active in the production of machinery and lines for the treatment of animal and vegetable milk, Deal Source had already finalised in 2021 the further acquisition of the activities of the Austrian multinational Andritz relating to the production of vertical axis centrifuges for the filtration and skimming of milk and the production of butter, constituting Frautech Separators S.r.l. 100% owned by Pietribiasi.

The further expansion of the business perimeter following the merger with MilkyLAB projects the group into the dairy sector, thanks to the latter’s important skills and references in the sector of machinery and lines for the production of mozzarella and other “pasta filata” cheeses.

Founded over 40 years ago in Modena on the initiative of entrepreneur Luciano Mucci, MilkyLAB has always had the objective of bringing to the world the tradition of Italian mozzarella cheese. With a presence in more than 60 countries and thanks to its own technologies, the company has always exported the knowledge of Italian cheesemakers around the world, helping one of the best-known made in Italy food products to establish itself and be consumed everywhere.

Pietribiasi was also assisted in the transaction by Studio Spada Partners with Antonio Zecca, Francesco De Buglio and Pierdamiano Abbenante for financial due diligence and by Luca Zoani, Matteo Danelli and Gianmaria Bascherini for tax due diligence.

MilkyLAB was assisted by Lorenzo Leone of Studio Pincelli e Associati as advisor and consultant and by lawyers Alessia Trevisan, Mario Bonferroni and Lorenzo Balestreri of Studio ADVANT Nctm.
