Pavia e Ansaldo with Project Informatica in the acquisition of Converge

Milan, 30 November, 2021 – Project Informatica, the portfolio company controlled by H.I.G. Europe – European branch of the international investment fund H.I.G. Capital, continues its growth route through external businesses.

The company has in fact signed a binding agreement for the acquisition of 100 per cent of the corporate capital of Converge S.p.A., a company located in Rome leading system integrator specializing in the supply of infrastructural solutions, hardware and software, mainly devoted to clients belonging to the public sector. The company counts on a consolidated know-how in the management of public tenders, ranging from the acquisition of framework agreements to the sale to public clients, including local entities. The closing of the transaction is scheduled during the first quarter of 2022 and is subject to authorization by the competent Antitrust Authority.

Project Informatica was assisted in the transaction, in relation to all legal aspects, by Pavia e Ansaldo Law firm, with a team coordinated by the partner Alberto Bianco and formed by Erica Lepore, Andrea Romanò, Giulio Nobile and Biancamaria Veronese, for corporate and M&A aspects, and by the partner Valentina Simonelli and Stefano de Georgio for labour law aspects. The partner Marco Giustiniani, supported by Antonello Frasca, managed administrative law aspects, while the partner Filippo Fioretti, with Maria Rosaria Raspanti, is taking care of antitrust profiles.

Accounting and tax aspects of the transaction were managed, on behalf of the buyer, by PwC.

The current shareholders of Converge, who will remain involved in the management with a minority quota inside the group, have been assisted by Equity Factory with a team made up by Stefano Marsilii and Filippo Montresor, as financial advisors, and by Studio Legale Albanese in person of the name Partner Avv. Marco Albanese and of Avv. Gianpiero Durante as for legal and contractual aspects of the transaction.
