Six new partners for Pavia e Ansaldo

Milan, 30 June 2015 – Pavia e Ansaldo announces that attorneys Paola Carlotti, Christian Caserini, Luca Cuomo, Marco Giustiniani, Anna Saraceno and Carlo Trucco were elected to partnership.Paola Carlotti, practices in Pavia e Ansaldo since 2003. She specializes in Mergers & Acquisitions/Private Equity, Insolvency and Restructuring and Commercial and Corporate Law. She has broad expertise in the sector of acquisitions, mergers and extraordinary corporate finance transactions, in particular business transfers, joint-ventures and distressed acquisitions, both national and international. In the sector of insolvency law she assists in composition with creditors (concordato preventivo) and other procedures aimed at the resolution of financial crisis, moreover she handles corporate matters related to corporate governance, incentive measures and directors’ liability.

Christian Caserini, practices in Pavia e Ansaldo since 2001. He specializes in Commercial and Corporate Law as well as Real Estate. He has specific expertise in the negotiation and drafting of share purchase agreements, business transfers and due diligence. He also handles civil and commercial litigation, with a focus on contracts, obligations, contractual and tort liability.

Luca Cuomo, practices in Pavia e Ansaldo since 2011. He specializes in Corporate Law and principally assists clients in mergers and acquisitions, private equity and commercial and corporate contracts. He mainly represents companies, financial institutions, and private equity funds in extraordinary corporate transactions, joint ventures and project financing also connected to renewable energies. Luca Cuomo is a lecturer in the Business School Master of Il Sole 24 Ore and, in particular, the Master Law and Enterprise (Diritto e Impresa) on corporate law, extraordinary corporate transactions and problems concerning the structure of corporate governance.

Marco Giustiniani, practices in with Pavia e Ansaldo since 2009. He specializes in Adminstrative Law both contentious and non-contentious. He is an expert in public contracts and public services (with a special emphasis on the public transportation sector). Marco also advises in all other matters of administrative law: from town planning and constructions to commercial law, from telecommunications to the regulated energy sector and pharmaceutical law. He lectures at the National School of Administration (Scuola Nazionale dell’Amministrazione) and is co-director for the public contract sector for Editor Dike Giuridica and for the Periodical “Il Nuovo Diritto Amministrativo”. Moreover, he is the coordinator of a manual on the law of public contracts, as well as author of multiple articles, opinions and publications on administrative law.

Anna Saraceno, practices in Pavia e Ansaldo since 2004. She specializes in Commercial and Corporate Law and Mergers & Acquisitions/Private Equity. In particular, through her work she has gained a significant expertise in mergers, acquisitions, business transfers, leveraged buy-outs, joint venture agreements and other corporate transactions of private equity funds, Italian companies and multinationals, domestic as well as international. She regularly advises on corporate matters concerning corporate assets and their governance,

with a specific emphasis on shareholders’ agreements. Moreover, she assists clients in planning, executing and managing commercial transactions and in negotiating and preparing the contractual documents required.

Carlo Trucco, practices in Pavia e Ansaldo since 2005. He specializes in Commercial and Corporate Law, Mergers & Acquisitions/Private Equity, Finance and Banking. In particular, he is active in mergers, acquisitions, business transfers, joint ventures and distressed acquisitions and other coporate transactions of private equity funds, Italian and multinational, domestic and international companies. He also regularly acts in financial and corporate restructuring transactions advising banks, asset management companies and financial intermediaries in financial and banking regulatory matters.
