PAVIA e ANSALDO AND RCC IN THE FINANCIAL AND INDUSTRIAL AGREEMENT BETWEEN GPI GROUP AND TBS GROUP

Milan, 20 December 2016 – Pavia e Ansaldo assisted the GPI Group in the financial and industrial agreement with the TBS Group, assisted by RCC, for the purchase of 55% of Insiel Mercato SpA, based in Trieste, and 100% of PCS – Professional Clinical Software G.m.b.H., based in Klagenfurt, Austria.

Insiel Mercato and Professional Clinical Software, active in Information and Communication Technology (ICT) for health and public administration, through the agreement will integrate the software resources of the Groups, finalysing them, particularly to implement the converging strategy between ICT and medical devices, in the hospital and territorial areas. Insiel Mercato has approximately 200 employees and in addition to its base in Trieste has operative structures in Udine, Bolzano, Bologna and Pisa. PCS has its headquarters in the capital of Carinzia with over 60 employees operating in Austria, Switzerland and Germany.

The transaction has an overall gross value of 23 Million Euro, with a further possible earn-out of 0.5 million euro, with warranty and indemnifications in line with transactions of this matter.
