Pavia e Ansaldo and Chiomenti in the agreement between CDP Equity and FM for the capital increase of € 140 million for GPI

Milan, 28 June, 2022 – Law firm Pavia e Ansaldo assisted GPI S.p.A., a company listed on the Euronext Milan market, along with its controlling shareholder, FM S.r.l., in the structuring of the transaction and the negotiation of an agreement with CDP Equity S.p.A., aiming at executing a capital increase with the exclusion of the option right by GPI S.p.A., reserved to CDP Equity S.p.A., to FM S.r.l. and to a number of institutional investors for a total amount of Euro 140 million. The transaction, subject to some conditions, is expected to be concluded in the second half of the year.

In the context of the transaction, both the emitting company and the controlling shareholder were assisted, as for legal and corporate aspects, by Pavia e Ansaldo with a team made up by the partners Vittorio Loi and Paolo Lupini, by the counsel Fabio Lui and by the junior associate Daniele Forcella.

In the same transaction CDP Equity S.p.A. was assisted by a team from Chiomenti led by Francesco Tedeschini and Renato Genovese for the corporate profiles and Federico Amoroso for capital market profiles, together with the senior associate Enrico Bizzarri and the associates Laura Papi, Francesca Zimmardi e Francesca Salvatore.
