Orienta Capital Partners acquires ILMA: the firms

Milan, 14 September, 2022 – Orienta Capital Partners, a company specializing in investments in SMEs with a high potential of growth, acquired – in the context of the vanguard project “FA R Evolution” founded on four pillars: innovation, technology, eco-sustainability and digital transition – the majority of ILMA, a business in Cuneo specializing in the design and production of roofs, walls and other wooden structures for traditional and bio constructions.

Indigo Capital (also lender of the transaction through a mezzanine bond loan) and the manager Marco Alberani, who has also took office as Managing Director, participated in the transaction with minority shareholdings. The current owners of ILMA transferred 100% of the corporate capital.

Orienta was assisted, in relation to all legal aspects, by the Firm Pavia e Ansaldo with a team coordinated by the partner Alberto Bianco and formed by Martina Villa and Luca Cabato, for corporate and M&A aspects, and by Erica Lepore, for banking aspects.

The buyer was also assisted by Grant Thornton, with a team formed by Stefano Marchetti, Marco Degregori, Eugenia Marchese, Edoardo Brambilla for financial aspects, by Gianni Bitetti, Mattia Tencalla and Paola Venturi for tax aspects, by BModel, with a team coordinated by the partner Claudio De Nadai, as for the Business Due Diligence and the drafting of the Industrial Plan, and by Lincoln International, with a team made up by Daniele Candiani and Matteo Cupello, for the activity of debt advisory.

The transaction was financed through a mezzanine bond loan granted by Indigo Capital, assisted by the firm Gitti and Partners, with a team made up of the partner Vincenzo Giannantonio, by the Counsel Domenico Patruno and by the junior associate Anastasia Cichetti, and through a senior financing granted by a pool composed by ICCREA BANCA S.p.A, – Istituto Centrale del Credito Cooperativo and Banca Alpi Marittime Credito Cooperativo Carrù S.c.p.A.,  assisted by Simmons & Simmons with a team led by the partner Davide D’Affronto and composed by the Of Counsel Alessandro Elisio and the trainees Luigi Terenzio Trigona and Francesco Oreste.

The vendors were assisted by Heussen Law and tax firm, with a team made up by Francesco de Lorenzo, Riccardo and Fabio D’Ippolito, Luca Piovesan and Saul Pozzoni for legal aspects, and by Mit.fin. for financial aspects.
