Omnia Technologies (Investindustrial) acquires TMCI Padovan: the advisors involved

Milan, 8 August 2023 – BonelliErede assisted Omnia Technologies (Investindustrial) in the acquisition from the Sinergia II fund of 100% of TMCI Padovan, a company operating in the production and sale of machinery and equipment for the production and processing of beverages and food.


The new investment is part of Investindustrial’s project focused on technological solutions for the beverage, pharmaceutical and medical sectors, in the context of which four other acquisitions were finalised in the first half of 2023, assisted by BonelliErede as well.


BonelliErede acted with a team coordinated by partner Stefano Nanni Costa and led by managing associate Marco Bitetto, both members of the Private Equity Focus Team, and composed of senior associate Francesca Ricceri, associate Nicoletta Botta and Cristina Langford. Partner Giovanni Muzina and managing associate Martino Ranieri handled the labour law profiles of the transaction. For the legal due diligence activities, BonelliErede availed itself of the beLab’s Transaction Services team coordinated by director Michel Miccoli with Nicolò Vallefuoco and Manuela Aiello.


Banca Finint assisted the buyer, acting as financial advisor to Omnia Technologies (Investindustrial), with a team comprising Francesco Lorenzoni and Luca Bonamigo.


Chiomenti acted alongside Omnia Technologies with a team comprising partner Massimo Antonini and counsel Elisabetta Costanza Pavesi for the tax aspects, while partner Giulio Napolitano and associate Luca Masotto acted on golden power aspects.


PwC Deals handled the financial due diligence with a team coordinated by partner Francesco Giordano and composed of director Matteo Gubitta and senior manager Maria Luisa Quarin.


PwC TLS handled the tax due diligence with a team coordinated by partner Giorgio De Capitani and senior manager Valentina Caldiroli.


The law firm Pavia e Ansaldo advised the Sinergia II fund with a team coordinated by partner Alberto Bianco and comprising Erica Lepore and Alessandro Russo.


Pirola Corporate Finance acted as financial advisor for the sale assisting the Sinergia II fund and TMCI Padovan in relation to all negotiation and commercial aspects and direct support in the preparation and coordination of due diligence activities with a team coordinated by partners Ludovico Mantovani and Matteo Giannobi and formed by Marco Gregorini, Cristina Bertolini, Andrea Ancarani, Daniele Rosso, Marco Uggeri and Sabino Fortunato.
