Gia (Ethica Global Investments) acquires 76% of Vorpa, the advisors

 

Milan, 5 September 2023 – The law firm Pavia e Ansaldo, with a team coordinated by partner Alberto Bianco and comprising Martina Bosi and Arianna Bellani, assisted Ethica Global Investments in relation to all legal, M&A and banking aspects of the acquisition, through its subsidiary GIA S.p.A., of 76% of Vorpa S.r.l., a company active in the production and marketing of anchors and fastening systems in the construction sector.

In relation to the tax aspects of the transaction, the buyer was also assisted by Studio Tributario De Iure, with a team comprising Roberto Colussi and Livia Schivardi, and in relation to the accounting aspects by KPMG with a team comprising Annina Filosa and Marilù Leone.

LS Lexjus Sinacta, with a team coordinated by partner Marco Bertini and comprising Anna Maria Mazzoni and Filomena Zonno, assisted the sellers in relation to all legal and M&A aspects, while Fulcros Commercialisti per l’Impresa, with Stefano Berti and Enrico Campidelli, handled the financial and tax aspects of the transaction.

Vorpa, based in Riccione and founded in 1993, produces and markets anchors and fastening systems for the construction sector and in particular mechanical and chemical anchors, light and extended anchors and pipe collars. As part of the transaction, the Vorabbi family will remain as a minority shareholder in order to ensure management continuity.

With this operation, Ethica Global Investments continues the development of the GIA Group, which in light of the new acquisition achieves a consolidated turnover of approximately €40 million in the construction sector with a complete offer of fastening systems and air conditioning components.
