DLA Piper, Pavia e Ansaldo and Dentons in the entry of Lynx in PIC Informatica

Milan, 8 July, 2022 – International Law firm DLA Piper assisted Lynx S.p.A., system integrator specializing in the design and realization of technological solutions supporting large companies in the utility sector, banks, insurance companies and public administrations, owned by the fund FSI as for 49,99% since November, 2021, in the acquisition of a shareholding equal to 60% of the corporate capital of PIC Servizi per l’Informatica S.r.l., a company active since 1990 and specializing in consultancy and in informatic services, located in Arezzo and with offices in Milan, Turin, Rome and London.

 

For Lynx it is the third acquisition in a few months. The acquisition was supported by Intesa Sanpaolo S.p.A. through the Divisione IMI Corporate & Investment Banking, which acted as Mandated Lead Arranger & Sole Lender of the transaction.

 

DLA Piper assisted Lynx S.p.A. for the corporate profiles with a team coordinated by the partner Fabio del Bene, supported by the lawyer Ornella Vastola and by Matteo Agnelli Merogno. Assistance in relation to the financing was given, under the supervision of the partner Giovanni Ragnoni Bosco Lucarelli, by the lawyer Gianfranco Giorgio, supported by the lawyer Mariacarmela Timpone and by Alessia Lamedica.

 

Intesa Sanpaolo was assisted by Law firm Dentons, with a team led by the partner Alessandro Fosco Fagotto and composed by the counsel Tommaso Zanirato and by the trainee Giorgio Peli.

 

The current partners, Marco Pisa and Claudio Bonissone and the other minority partners, who will be keeping the remaining 40% of the corporate capital reinvesting a part of the proceeds in Lynx and maintaining the operative proxies, were assisted by Law Firm Pavia e Ansaldo, in relation to all legal structuring and contractual aspects, with a team coordinated by the partner Alberto Bianco and formed by Martina Villa and Sara Balzano, along with Ethica Group, in relation with the financial aspects, with a team formed by Giorgio Carere and Marco Coppola.
