BonelliErede and Pavia and Ansaldo in the agreement for the sale of HISI to F2i by Ardian

Milan, 30 December 2022 – BonelliErede assisted Ardian, a leading global private equity firm, in reaching an agreement for the sale of 100% of HISI, a healthcare and infrastructure investment holding company, to the Ania F2i fund managed by F2i SGR, Italy’s leading infrastructure fund manager, assisted by Pavia and Ansaldo law firm.


In the transaction, Ardian acted on behalf of its own managed funds and the Dutch pension fund APG, the largest pension group in the Netherlands and a shareholder of HISI since 2018 following a secondary transaction carried out by Ardian.


Completion of the transaction is subject to the fulfilment of the standard conditions precedent and is expected indicatively by June in the first half of 2023.


BonelliErede assisted Ardian with a team led by partner Elena Busson, member of both the Infrastructure and Private Equity Focus Teams, and composed of managing associate Giulia Elisabetta Uboldi, also part of the Private Equity Focus Team, and associate Francesco Rigo and Francesca Lacava for corporate law aspects. Partners Catia Tomasetti and Giorgio Frasca, a member of the Infrastructures Focus Team, senior counsel Giovanna Zagaria, also part of the same Focus Team, and associates Beatrice Corda and Giulia Pandimiglio followed the financing and due diligence aspects of the transaction. Pavia e Ansaldo assisted the buyer F2i SGR with partners Mia Rinetti and Paola Carlotti of the M&A and Private Equity department, supported by associates Riccardo Robuschi, Francesco Savi and Beatrice Trombi, for the corporate law and contractual aspects. For administrative law profiles, the partner in charge of the practice Marco Giustiniani acted with associates Giampaolo Grechi and Anna Logorelli. Counsel Alessandra Grandoni handled the financing of the transaction, while counsel Francesco Vitella and associate Rosie Schifino followed labour law issues. Analyses and notifications on golden power and antitrust matters were entrusted to the head of the FDI and competition department Filippo Fioretti and senior associate Maria Rosaria Raspanti.


All tax aspects of the transaction were handled, for the buyer F2i SGR, by Freshfields Bruckhaus Deringer, with partner Renato Paternollo, senior associate Toni Marciante and associate Giuseppe Brero.
